Terms of Service
These terms form an agreement between you (as an individual Chartered Accountant or as a firm that has created an account) and CA Manager. By creating an account or using the service you accept these terms. If you do not agree, please do not use the service.
1. The service
CA Manager is a software-as-a-service platform that helps Chartered Accountants manage clients, collect records over WhatsApp, issue invoices, assign tasks to team members, and track ongoing work. We provide the platform; you provide the data, your professional judgement, and the relationship with your clients.
2. Your account
- You must provide accurate information when signing up and keep it up to date.
- You are responsible for keeping your password confidential and for everything that happens under your account. If you think someone else has accessed it, change the password immediately and email hello@camanager.in.
- You must be at least 18 years old and legally able to enter into a contract.
- You are responsible for the acts of every team member you invite to your firm's workspace.
3. Acceptable use
You agree NOT to:
- Use the service for anything illegal or fraudulent.
- Upload malware, viruses, or content that infringes someone else's intellectual property.
- Send unsolicited messages, spam, or promotional content over the WhatsApp integration. The integration is for communicating with your own clients about their records.
- Attempt to gain unauthorised access to other accounts, our servers, or our codebase.
- Resell or rebrand the service as your own without a separate written agreement with us.
- Reverse-engineer, scrape, or automate the service in a way that disrupts other users.
We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.
4. Your content and your clients
You retain all rights to the records, invoices, and client information you store in CA Manager. You grant us a limited licence to host, process, and transmit that content solely to operate the service for you.
You are responsible for:
- Ensuring you have the authority and consent to upload a client's records to CA Manager.
- Informing your clients that their records are stored with us, as required by your professional code of conduct and applicable data protection law.
- The content of WhatsApp messages sent via your account and compliance with Meta's Business Messaging Policy.
5. Our intellectual property
The service's code, design, trademarks, and documentation belong to us. Nothing in these terms transfers any of that to you. You may not copy, modify, or create derivative works of the service.
6. Subscription plans and billing
- CA Manager is offered on monthly and annual subscription plans. Plan details, feature limits, and pricing are shown on our pricing page and may be updated from time to time.
- Subscription fees are charged in Indian Rupees (INR) and include applicable GST.
- Payments are processed by Razorpay. We do not store your card or bank account details — those are handled entirely by Razorpay under their own terms.
- Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. You can cancel any time from the billing section of your account.
- If a payment fails, we will retry and may suspend access until payment is received.
7. Refunds and cancellation
- You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period and you will retain access until then.
- Monthly plans are not refundable for the current period.
- Annual plans are eligible for a pro-rata refund within the first 14 days of payment, minus any payment-processor charges.
- We may offer a goodwill refund outside these rules on a case-by-case basis. Email hello@camanager.in to discuss.
8. Data export and deletion
You can export your parties, records, invoices and tasks at any time from within the product. When you cancel your subscription or delete your account, your data is deleted from our systems promptly. We do not keep copies for reactivation — please export anything you want to keep before you cancel.
9. Third-party services
The service depends on third parties including Meta (WhatsApp Cloud API), Razorpay, Cloudflare R2, and Brevo. Their availability is outside our control. We are not responsible for outages or changes in those services, though we will act to restore functionality promptly.
10. Service availability
We aim to keep the service available 24×7 and perform planned maintenance during low-traffic windows with advance notice where possible. We do not promise uninterrupted, error-free service.
11. Disclaimers
The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties other than those expressly stated in these terms. We do not warrant that the service will meet every requirement you have, or that any specific data processed through the service will always be accurate, complete, or available.
Professional use: CA Manager is a tool. It does not replace your professional judgement as a Chartered Accountant. Tax, regulatory, and compliance decisions remain your responsibility.
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, or data, even if we have been advised of the possibility of such damages.
13. Indemnity
You agree to indemnify and hold CA Manager harmless from any third-party claim that arises from (a) your use of the service in breach of these terms, (b) your violation of applicable law, or (c) your infringement of another party's rights, including through records or messages you send via CA Manager.
14. Termination
You can stop using the service at any time by cancelling your subscription and, if you want, deleting your account from the settings page.
We may suspend or terminate your account if you materially breach these terms, if your payment fails, or if continuing to provide the service would expose us to legal risk. Where reasonable, we will give you notice and a chance to fix the issue first.
15. Changes to these terms
We may update these terms as the service evolves. If a change is material we will notify active account owners by email at least 14 days before the change takes effect. Your continued use of the service after the effective date constitutes acceptance of the updated terms.
16. Governing law and disputes
These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms will be subject to the exclusive jurisdiction of the courts at the registered place of business of CA Manager.
